PLEASE READ THESE TERMS OF USE CAREFULLY. THEY INCLUDE A BINDING ARBITRATION AGREEMENT, A WAIVER OF YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, AND OTHER LIMITATIONS THAT AFFECT YOUR LEGAL RIGHTS.
These Terms of Use ("Terms") form a binding contract between you and JobHelpGuide Media ("JobHelpGuide," "we," "us," or "our") and govern your access to and use of jobhelpguide.org and any related content, downloads, newsletters, and services (collectively, the "Site"). By accessing or using the Site, you accept these Terms in full. If you do not accept these Terms, do not access or use the Site.
1. Eligibility
You may use the Site only if you are at least 16 years old and able to form a legally binding contract under applicable law. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, in which case "you" refers to both you and that organization.
2. Editorial nature of the Site; not professional advice
The Site publishes general-interest editorial content about resumes, interviewing, certifications, online courses, job search, and related career topics. All content on the Site is provided for general informational and educational purposes only. It is not legal, financial, medical, tax, employment, immigration, or professional career advice. Career, education, and employment outcomes depend on individual circumstances we cannot assess. Always verify time-sensitive or jurisdiction-specific information through official primary sources and consult a qualified professional before acting on anything you read on the Site.
We make reasonable efforts to keep content accurate and current, but we do not warrant that any content is accurate, complete, current, or fit for a particular purpose. Salary ranges, certification costs, exam content, employer policies, hiring norms, regulatory requirements, and platform features change frequently. We are not responsible for outcomes resulting from your reliance on Site content.
3. License to use the Site
Subject to your compliance with these Terms, JobHelpGuide grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site for your own personal, non-commercial use. All rights not expressly granted are reserved.
4. Prohibited uses
You agree not to do, and not to attempt or permit any third party to do, any of the following:
- Reproduce, distribute, publicly display, modify, translate, adapt, or create derivative works of any portion of the Site or its content, except as expressly permitted in these Terms
- Use any portion of the Site or its content to train, fine-tune, evaluate, or develop any artificial intelligence model, machine learning system, large language model, generative model, or similar system, whether or not for commercial purposes, without our prior express written consent
- Use any robot, spider, scraper, crawler, or other automated means to access, collect, or copy any portion of the Site, other than as permitted by our published robots.txt for legitimate search engine indexing
- Bypass, circumvent, disable, or attempt to bypass any security feature, rate limit, paywall, consent management feature, ad-serving mechanism, or technical limitation of the Site
- Block, disable, modify, or otherwise interfere with the display of advertising on the Site in a manner that violates these Terms; you may use general-purpose ad-blocking software in your own browser, but you may not redistribute, modify, or republish the Site without ads
- Use the Site to violate any law, regulation, or third-party right, including intellectual property, privacy, publicity, or contractual rights
- Upload, transmit, or otherwise make available any virus, worm, trojan horse, ransomware, or other malicious code
- Send unsolicited communications, spam, or phishing attempts using any contact channel associated with the Site
- Frame, mirror, or scrape the Site, or otherwise reproduce the appearance of the Site in a manner that may confuse users about its source
- Engage in click fraud, ad fraud, invalid traffic, artificial inflation of advertising metrics, or any conduct intended to manipulate advertising auctions or analytics
- Reverse engineer, decompile, or disassemble any software made available through the Site
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
We may suspend or terminate your access to the Site at any time, for any reason or no reason, with or without notice, including for any actual or suspected violation of these Terms.
5. Downloads and gated resources
From time to time, the Site offers downloadable resources such as resume templates, study schedules, checklists, and worksheets. Subject to your compliance with these Terms, JobHelpGuide grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use these resources for your own personal career development. You may not resell, redistribute, sublicense, or rebrand these resources, and you may not present them as your own work. Some downloads require you to complete a short survey or watch a brief advertisement through Google's Funding Choices Offerwall before access. Completion of these prompts is a condition of access. We reserve the right to modify, restrict, or discontinue any download at any time without notice.
6. Intellectual property
The Site and all content made available through it, including text, articles, images, graphics, downloads, layouts, software, and the selection and arrangement of the foregoing, are the property of JobHelpGuide Media or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. The "JobHelpGuide" name, logo, and any related marks are trademarks of JobHelpGuide Media. You may not use any of our trademarks without our prior written consent.
7. User submissions
If you send us any communication, suggestion, idea, comment, or other information about the Site or our content (collectively, "Submissions"), you grant JobHelpGuide a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, adapt, publish, distribute, and exploit the Submission for any purpose, in any medium, without compensation to you and without obligation to credit you. You represent that any Submission you provide is your own, does not infringe the rights of any third party, and does not violate any law. Do not send us anything you consider confidential or proprietary.
8. Advertising; FTC disclosures
The Site is supported by display, video, and native advertising. We work with Google Ad Manager, Google AdSense, and other advertising partners that select advertisements algorithmically based on factors that include user signals, contextual signals, and bids submitted by advertisers. Inclusion of an advertisement on the Site is not an endorsement, recommendation, or vetting of the advertiser, the advertised product, or any related claim. We do not control which advertisements appear in any given placement and do not warrant the accuracy, legality, or quality of any advertisement.
From time to time, we may publish content that includes affiliate links, sponsored placements, or other commercial relationships. When required by the Federal Trade Commission's Endorsement Guides (16 CFR Part 255) or similar law, that content is identified as sponsored or includes a clear and conspicuous disclosure of the relationship.
9. Third-party content and links
The Site contains links to third-party websites, courses, certification bodies, employers, software, and other resources. Links and references to third-party content are provided for convenience only and do not constitute an endorsement. We have no control over third-party sites or services and assume no responsibility for their content, policies, practices, or availability. Your dealings with any third party are solely between you and that third party.
10. DMCA notice and takedown
We respect intellectual property rights and respond to valid notices of claimed infringement under the Digital Millennium Copyright Act (DMCA), 17 U.S.C. Section 512. If you believe in good faith that material on the Site infringes your copyright, please submit a written notice through the contact form on our Contact page, selecting "Legal notices / DMCA" as the topic, that includes:
- A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing, with sufficient detail (including URL) to enable us to locate it
- Your contact information, including your full legal name, mailing address, and telephone number
- A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
Knowingly making a material misrepresentation in a DMCA notice may subject you to liability under 17 U.S.C. Section 512(f).
11. Disclaimer of warranties
THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, JOBHELPGUIDE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND CONTRIBUTORS (COLLECTIVELY, "JOBHELPGUIDE PARTIES") DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, JOBHELPGUIDE PARTIES DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT ANY INFORMATION OBTAINED THROUGH THE SITE IS ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE FOREGOING EXCLUSIONS MAY NOT APPLY TO YOU.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANY JOBHELPGUIDE PARTY BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR EMPLOYMENT OPPORTUNITY, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT JOBHELPGUIDE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE JOBHELPGUIDE PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100) OR (B) THE AMOUNT YOU HAVE PAID JOBHELPGUIDE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (WHICH WILL TYPICALLY BE ZERO BECAUSE THE SITE IS FREE TO READ).
Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the foregoing limitations may not apply to you.
13. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the JobHelpGuide Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your access to or use of the Site, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any Submission you provide. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case you agree to cooperate with our defense of that matter.
14. Binding arbitration; class action waiver
14.1 Arbitration agreement. Except for the Excluded Disputes described below, you and JobHelpGuide agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (a "Dispute") will be resolved exclusively by final and binding individual arbitration administered by JAMS in accordance with its applicable Streamlined or Comprehensive Arbitration Rules and Procedures, and not in court. The arbitrator, and not any federal, state, or local court, will have exclusive authority to resolve any Dispute, including the scope, enforceability, and arbitrability of these Terms.
14.2 Class action waiver. YOU AND JOBHELPGUIDE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
14.3 Jury trial waiver. YOU AND JOBHELPGUIDE WAIVE ANY RIGHT TO A JURY TRIAL.
14.4 Excluded Disputes. The arbitration agreement does not apply to (a) actions to enforce or protect intellectual property rights, (b) claims that may be brought in small-claims court, or (c) any claim that applicable law specifically prohibits from being subject to arbitration.
14.5 Opt-out. You may opt out of the arbitration agreement in this Section 14 by sending a signed written opt-out notice by mail or internationally recognized courier to the postal address listed in Section 27 within thirty (30) days of first accepting these Terms. The notice must include your full legal name, postal address, the email address you used to interact with the Site (if any), the date you first accepted these Terms, your handwritten signature, and a clear statement that you wish to opt out of arbitration. Notices submitted by any other method (including the contact form) are not effective to opt out of arbitration. If you opt out of arbitration in compliance with this Section, you and JobHelpGuide are still bound by every other provision of these Terms, including Section 16 (governing law and forum).
14.6 Severability of arbitration provisions. If any portion of this Section 14 is found to be unenforceable, that portion will be severed and the remainder will continue to apply, except that if the class action waiver is found unenforceable in any proceeding, the entire arbitration agreement will be unenforceable in that proceeding.
14.7 Mass arbitration procedures. If twenty-five (25) or more substantially similar demands for arbitration are filed against JobHelpGuide by or with the coordination of the same law firm or group of law firms within a sixty (60) day period, the parties agree that the JAMS Mass Arbitration Procedures and Guidelines (or any successor mass arbitration procedure adopted by JAMS) will apply, including the appointment of a Process Arbitrator, batched proceedings, and any procedural and fee provisions in those rules. The arbitrator and the Process Arbitrator have authority to determine the application and scope of these mass arbitration procedures. JobHelpGuide reserves the right to require that any claim filed as part of a mass arbitration that is later withdrawn, dismissed, or abandoned without an award on the merits be subject to fee-shifting consistent with applicable law.
14.8 Equitable relief; court actions for intellectual property. Notwithstanding the agreement to arbitrate, either party may seek injunctive, declaratory, or other equitable relief in any court of competent jurisdiction to (a) protect or enforce intellectual property rights, (b) prevent unauthorized access to or use of the Site, (c) protect the security or integrity of the Site, or (d) enforce the prohibitions in Section 4. Seeking such relief in court does not waive any other right to arbitrate.
14.9 Confidentiality. Except as required by law or to enforce or challenge an arbitration award, the parties and the arbitrator will keep confidential the existence, content, and result of any arbitration under this Section.
15. Time limit for claims
To the fullest extent permitted by law, you agree that any claim arising out of or relating to these Terms or the Site must be filed within one (1) year after the claim arose, otherwise the claim is permanently barred.
16. Governing law and forum
These Terms and any Dispute will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles or any rule that would result in the application of the law of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
For any Dispute not subject to arbitration under Section 14, you and JobHelpGuide irrevocably consent to the exclusive personal jurisdiction and venue of the state and federal courts located in New Castle County, Delaware, United States. You and JobHelpGuide each agree that those courts are a convenient forum, and each party irrevocably waives any defense or objection based on lack of personal jurisdiction, improper venue, forum non conveniens, or any similar doctrine.
You consent to service of process in connection with any Dispute by any method permitted under Delaware law, by registered mail or internationally recognized courier to any postal address you have provided to us, or by electronic mail to any email address you have provided to us. JobHelpGuide consents to service of process by registered mail or internationally recognized courier to the postal address listed in Section 27.
17. Force majeure
JobHelpGuide will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, network outages, denial-of-service attacks, hosting provider failures, or other force majeure events.
18. Severability; reformation; no waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable in any respect, that provision will be reformed and construed to the broadest extent permitted by law to give effect to the intent of the parties as closely as possible, and the remaining provisions will remain in full force and effect. If a provision cannot be reformed, it will be severed and the remaining provisions will remain enforceable. Our failure or delay in enforcing any provision of these Terms, and any single or partial enforcement of any provision, will not be a waiver of that provision or of our right to enforce it in full at any later time. Any waiver, if granted, must be in writing and signed by us, and applies only to the specific instance for which it is given.
19. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this Section is void. We may assign these Terms at any time without notice.
20. Entire agreement; no reliance
These Terms, together with our Privacy Policy and any other policies referenced in these Terms, constitute the entire agreement between you and JobHelpGuide regarding the Site and supersede all prior or contemporaneous agreements, proposals, communications, representations, warranties, and understandings, whether oral or written. You acknowledge that you have not relied on any statement, representation, warranty, or promise made by us or on our behalf that is not expressly set out in these Terms, and you waive any claim for relief based on any such statement, representation, warranty, or promise. The only remedies for any breach of an express representation in these Terms are those set forth in these Terms.
21. Survival
Provisions that by their nature should survive termination of these Terms (including Sections 4, 6, 7, 11, 12, 13, 14, 15, 16, 18, 20, 22, 23, 24, and 25) will survive any termination, expiration, or rescission of these Terms or your access to the Site.
22. Notice
Any notice or other communication required or permitted under these Terms must be in writing. We may give notice to you (a) by posting on the Site, (b) by email to any email address you have provided to us, or (c) by mail or internationally recognized courier to any postal address you have provided to us. Notice we provide by any of these methods is effective when sent. You may give notice to JobHelpGuide by submission through the contact form on our Contact page or by mail or internationally recognized courier to the postal address listed in Section 27. Notice you provide to JobHelpGuide is effective only when actually received by us. The arbitration opt-out notice under Section 14.5 must be delivered by mail or internationally recognized courier to the postal address listed in Section 27 to be effective.
23. No third-party beneficiaries
These Terms are for the exclusive benefit of you and JobHelpGuide and do not confer any rights, remedies, claims, or causes of action upon any third party. No third party has the right to enforce any provision of these Terms.
24. Construction
The headings used in these Terms are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. The terms "including," "include," and "includes" mean "including without limitation." References to a Section are references to a Section of these Terms unless otherwise stated. These Terms have been negotiated in arm's-length and accepted by you of your own free will, and will not be construed against any party as the drafter, notwithstanding any rule of contract construction to the contrary. The English-language version of these Terms is the controlling version, and any translation provided for convenience does not affect the meaning of these Terms.
25. Electronic communications and signatures
By using the Site, you consent to receive communications from us in electronic form, including through the Site, by email if you have provided one, and by other electronic means. You agree that all agreements, notices, disclosures, consents, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You further agree that any electronic submission you make through the Site (including submissions through the contact form) constitutes your signature and your agreement and intent to be bound by the contents of that submission, and is admissible in any proceeding to the same extent as a paper record bearing your handwritten signature. You waive any right to challenge the validity, enforceability, or admissibility of any electronic record or signature on the basis of its electronic form.
26. Changes to these Terms
We may modify these Terms at any time by posting the revised Terms on the Site and updating the "last updated" date at the top of this page. Material changes will be brought to your attention through a notice on the Site for a reasonable period after the change takes effect. Your continued use of the Site after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree with any change, your sole remedy is to stop using the Site.
